SCC successfully completes Mergers and Acquisitions deal for client Atlas World

We are delighted to highlight the successful completion of a significant investment deal for our client, Atlas World.

Belfast-based company Atlas World acquired the majority stake investment from leading technology-driven compliance solutions specialist, Obsequio Group

Atlas World has been working with clients and customers for more than 30 years helping to create, secure, safe, sustainable and efficient environments.

Atlas World comprises of four sectors which include:

  • Atlas World Fire and Security
  • Atlas World Energy
  • Atlas World Audio Visual
  • Atlas World Assistive Living.

The deal centred on providing crucial strategy advisory, financial expertise and risk management throughout the entire lifecycle of the transaction.

Our team played a key role in navigating the complexities of this mergers and acquisitions (M&A) deal and delivering a successful result and achieving the strategic goals for all parties involved.

What does our M&A service include?

Financial due diligence

The most important role is completing a comprehensive probe into the target company’s financial health, including:

  • Analysing financial statements: We conducted a deep dive reviewing financial statements to ascertain the accuracy of reported performance.

  • Hidden liabilities: This included uncovering possible risks to the M&A deal, such as liabilities, off-balance-sheet debt, possible litigation and tax obligations which could impact the valuation of the deal.

Valuation and deal structuring

We used our award-winning company’s financial modelling skills to determine a price and structure to help complete the transaction: Their advice includes:

  • Business valuation: We applied various valuation processes to ascertain an accurate and fair marking value for the target company.

  • Financial modelling: We created detailed models to help project the future financial performance, including assessing cost savings and revenue growth alongside estimations of integration costs.

Regulatory and tax advisory

Mergers and acquisitions transactions have considerable regulatory and tax consequences that SCC were expertly positioned to manage, including:

  • Tax planning: Reviewing the tax implications of the transaction and advising on strategies to minimise tax exposure for both the buyer and seller.

  • Compliance: Ensuring the M&A transaction adheres to accounting standards and financial regulations. These steps are essential for mitigating financial and legal penalties.

  • Purchase price allocation: We look at the purchase price to the assets and liabilities at the fair value rate. This intricate process will determine future depreciation, amortisation and goodwill.

Post-merger integration

This successful mergers and acquisitions role goes beyond the initial deal. We will play a key role to ensure a smooth transition in integrating the financial operation of the merged entities.

This includes:

  • Financial reporting: Ensuring the financial process by combining the financial systems and adhering to accounting standards.

  • Risk management: Identifying potential risks which may arise from the merger, SCC chartered accountants help mitigate these risks and safeguard the combined entity’s financial future.

This successful deal is a testament to the integrated expertise of our dedicated M&A team, most notably Ronan Lappin, Kathy Daly and Diarmuid McKeown, who provided comprehensive advisory services.
